MYAH Early Access Program Agreement

Who We Are

The MYAH Early Access Program (“Program”) is operated by Ultimate Performer Inc., a Florida corporation, doing business as Soaron Global (“Company,” “we,” “us,” or “our”). We are the owner and operator of the MYAH AI platform (“MYAH”).

Acceptance of These Terms

By purchasing a membership, accessing the Program, or participating in any Program activities, you agree to these Terms.

Checkout acceptance requirement: To participate, you must affirmatively agree to these Terms at checkout (e.g., by checking a box). If you do not agree, do not complete your purchase. (Clickwrap acceptance is strongly recommended for enforceability in Florida.)

Program Status and What You Are Purchasing

MYAH is in development. You are purchasing participation in an early access program—not a finished public software product.

The Program may include:

  • Access to the MYAH Discord community (subject to Discord availability and user eligibility)

  • Scheduled supervised product test sessions (live, guided sessions with our team)

  • Eligibility for beta access for paid tiers

  • Referral participation opportunities
Delivery of Access

Access is considered delivered when you receive access to the MYAH Early Access Program, including Discord community access and eligibility for supervised sessions.

Delivery does not require immediate independent product access.

Supervised Access Sessions

“Supervised access” consists of scheduled guided product test sessions conducted live (e.g., via Zoom) under the oversight of the MYAH team.

  • Sessions are subject to scheduling, capacity, and availability.

  • We may change session format, frequency, or availability as the Program evolves.

We may deny participation in sessions for abuse, disruption, or policy violations.

Beta Access Timeline

For Early Access Pass and VIP Lifetime tiers, beta access is expected to begin within ninety (90) days of purchase, subject to development progress. Beta access will roll out in phases and timing may vary.

Waiting List (free) participants are not guaranteed beta access.

Early Access Pass Benefit – 3 Years on Paid Plan

For Early Access Pass members, three (3) years of MYAH’s paid plan will begin at Public Launch.

“Public Launch” means the date MYAH is made available for independent user access without supervised sessions as the primary means of use.

VIP Lifetime Membership (20-Year Definition)

“Lifetime” means access for up to twenty (20) years from the purchase date, or for as long as MYAH remains commercially available, whichever occurs first.

We may modify features, pricing models, or product structure over time; lifetime access applies to the MYAH offering as commercially available and may not include third-party services or add-ons.

Referral Program Terms

Referral rewards are opportunity-based. Language such as “win a chance” means:

  • rewards are discretionary,

  • not guaranteed,

  • subject to capacity and eligibility,

  • and may change over time.

We may investigate and disqualify referrals we reasonably believe are fraudulent, spammy, incentivized improperly, or otherwise abusive.

User Conduct and Community Rules

You agree not to:

  • harass, threaten, or abuse others,

  • share illegal content,

  • spam or mass-invite,

  • attempt to exploit the referral system,

  • reverse engineer or scrape the platform,

  • share confidential materials from supervised sessions.

We may suspend or terminate access for violations.

Confidentiality (Early Access Reality)

During supervised sessions or in private channels, you may receive non-public information (product behavior, screenshots, roadmap hints). You agree not to publicly disclose confidential Program materials without our written permission.

Feedback License

If you provide suggestions, feedback, or ideas, you grant us a perpetual, worldwide, royalty-free right to use, modify, and incorporate them without obligation or compensation.

Payments, Merchant of Record, and Taxes

Purchases may be processed by Lemon Squeezy as merchant of record and may be subject to Lemon Squeezy’s buyer terms.
 You are responsible for any applicable taxes unless otherwise stated at checkout.

Refunds (Summary) + Chargeback Protection

Refunds are governed by our Refund Policy (linked at checkout and in the footer).

Important: Lemon Squeezy may issue refunds within 60 days to prevent chargebacks even if a seller’s policy is different.

Chargebacks for “services not provided” are a common dispute category; clear delivery definitions and prompt refunds reduce risk.

Suspension, Termination, and Access Revocation

We may suspend or terminate access, and/or revoke Discord roles, if:

  • you violate these Terms,

  • you engage in fraud/refund abuse/chargeback abuse,

  • you disrupt supervised sessions or community spaces,

  • you attempt to bypass access controls.

Refunds in cases of abuse are at our discretion, consistent with law and processor rules.

Disclaimers

THE PROGRAM AND MYAH ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
 We do not guarantee uninterrupted availability, specific features, or that development will proceed on any particular timeline.

Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages.

  • Our total liability for any claim will not exceed the amount you paid to participate in the Program.
Arbitration and Class Action Waiver (Strong Protection)

Please read carefully. You and the Company agree that any dispute arising from these Terms or the Program will be resolved by binding arbitration, except you may bring claims in small claims court if they qualify.

  • Arbitration will be conducted in Florida under the rules of a recognized arbitration provider.

  • You and the Company waive the right to a jury trial.

  • You and the Company agree disputes will be brought only in an individual capacity, not as a class action.

(If you want an opt-out window for extra enforceability, tell me and I’ll add a 30-day opt-out clause.)

Governing Law and Venue

These Terms are governed by Florida law. If a dispute is not subject to arbitration, venue will be in state or federal courts located in Florida.

Changes to Terms

We may update these Terms. The “Last Updated” date will change. Continued participation after an update means you accept the updated Terms.
